1. Definitions
- "Agreement" means these Terms & Conditions together with any engagement proposal or service agreement signed by both parties.
- "Service" means the AI integration consultancy and training services provided by Panya Nava.
- "Client" / "User" / "You" means any individual or organisation accessing our website or engaging our services.
- "We" / "Us" / "Our" means Panya Nava Co., Ltd., registered in Bangkok, Thailand.
- "Content" means all materials, reports, handbooks, and documents produced during an engagement.
2. Acceptance of Terms
By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms. Our services are intended for business organisations and individuals aged 18 and over.
3. Service Description
Panya Nava provides AI integration consultancy and workforce training services including, but not limited to:
- AI Readiness Assessments
- Employee AI Literacy Programs
- Custom AI Integration Strategies
Services are delivered primarily in Bangkok, Thailand, with remote delivery options available where agreed. We reserve the right to decline engagement requests at our discretion.
4. User Responsibilities
When engaging with Panya Nava, you agree to:
- Provide accurate and complete information relevant to the engagement
- Ensure timely access to relevant staff and materials where required
- Use our deliverables only for your internal business purposes
- Not resell, sub-license, or distribute our reports or materials without prior written consent
- Treat all communications and materials as confidential where marked or implied
Prohibited activities include: misrepresenting our organisation's recommendations, using our materials in a way that could mislead third parties, and engaging in any unlawful conduct related to our services.
5. Intellectual Property
All methodologies, frameworks, templates, and materials produced by Panya Nava remain our intellectual property unless explicitly transferred in writing. Upon full payment, clients receive a non-exclusive, non-transferable licence to use deliverables produced for their specific engagement for internal business purposes.
You retain ownership of any organisational information, data, and materials you share with us. We claim no rights over client data beyond what is required to deliver the agreed service.
6. Payment Terms
Payment terms are confirmed in the engagement proposal. General conditions:
- Fees are quoted and payable in Thai Baht (฿)
- Invoices are due within 14 calendar days of issue
- A deposit may be required before engagement commencement (as stated in the proposal)
- Late payment may result in suspension of services
- Cancellation within 7 days of a scheduled session may incur a cancellation fee as specified in the proposal
7. Refund Policy
Refunds are considered on a case-by-case basis. Where Panya Nava is unable to deliver a confirmed service due to circumstances within our control, a full or proportional refund will be offered. Refunds for client-initiated cancellations are subject to the terms stated in the relevant engagement proposal.
8. Confidentiality
Both parties agree to treat confidential information shared during an engagement with appropriate discretion. Formal non-disclosure agreements are signed prior to all substantive engagement activity. These obligations survive the termination of any engagement.
9. Disclaimers
Our services are provided in good faith based on information available at the time of engagement. We do not warrant that any AI tool, platform, or recommendation will produce specific business outcomes. AI technology evolves rapidly, and recommendations made during an engagement reflect the state of available tools and knowledge at the time of delivery.
Our services constitute professional advice and guidance, not a substitute for legal, financial, or technical implementation services.
10. Limitation of Liability
To the maximum extent permitted by Thai law, Panya Nava's total liability to a client for any claim arising from an engagement shall not exceed the total fees paid for that engagement. We shall not be liable for indirect, consequential, or incidental losses, including loss of data, revenue, or business opportunity.
11. Indemnification
You agree to indemnify and hold harmless Panya Nava, its directors, and staff from any claims, losses, or expenses arising from your misuse of our services, your breach of these terms, or your infringement of third-party rights.
12. Termination
Either party may terminate an engagement by written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of notice. Upon termination, you must pay for all services delivered to date. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.
13. Governing Law and Dispute Resolution
These Terms & Conditions are governed by the laws of the Kingdom of Thailand. Any disputes shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.
14. General Provisions
- Entire Agreement: these terms, together with any signed engagement proposal, constitute the entire agreement between the parties.
- Severability: if any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: you may not assign your rights under these terms without our prior written consent.
15. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated to active clients by email. Continued use of our services after changes are posted constitutes acceptance. The current version is always available at this URL.
